1. Website Terms of Use

The Sites listed below are owned and operated by Pushrod Limited, a company registered in England and Wales (company number 05647737), with its registered address at Aston House, Cornwall Avenue, London N3 1LF. The terms “Pushrod”, “Autopendium” “us”, “we” or “our” all refer to Pushrod Limited. The term "you" refers to the user or viewer of the Site. The terms and conditions (the “Terms”) set out below will govern your use of the following websites which will be all referred to as the “Site”:

Please read these Terms carefully. By continuing to access and use the Site you are deemed to have understood and agreed to them.  If you do not agree to them you must stop using this Site and any services available through it. If you have any questions about the Site, please refer to our Frequently Asked Questions.

2. Services available on this Site

The Site’s purpose is to allow owners and fans of cars over 20 years old (“Cars”) to share information about those Cars, including peripheral information such as car clubs, suppliers, books, know-how, photographs and spare parts. Please note, that we reserve the right to remove references to newer cars.

The Site offers the chance to upload and download pictures and details of Cars, keep a running reports (or blogs) of your vehicles or other topics of interest to which other users will have access, and to maintain a to-do list. Cars may be searched by various means, including by model and marque.

If you are interested in the services available on this Site you must register as an Autopendium Member. If you do not register, you will not be able to take advantage of our networking and information services, allowing you to contact other users and share your own information about Cars.

3. Fees

Joining Autopendium is absolutely free of charge for non-commercial users.

4. The Site is a Venue

The Site acts as a venue which allows registered users a forum for entertaining their passion of Cars. We do not routinely review postings or information provided by users and have no control over the quality of the their content or their truth or accuracy. However, we provide the means to report abuse and reserve the right to withdraw any information which we deem unsuitable for the Site and to block user access if required.

5. Membership

Our services are not available to, and may not be used by, persons under the age of 18 years. If you are under 18 years old, you can use this service only in conjunction with and under the supervision of a parent or guardian. If you do not qualify, please do not use our services.

You must choose a username and password on completion of registration. You are responsible for all actions taken under that username and password and shall only use the Site using your own username and password. Your username and password are personal to you, must be kept secure and should not be disclosed to any other person. You shall not transfer or sell your username to any other person or do anything that would assist anyone who is not a registered user to gain access to specific areas of the Site. You shall also not permit, either directly or indirectly, any other person to use your username or password.

6. Disclaimer

Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered on this website for any particular purpose.

You acknowledge that any information and materials founds on the Site may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law. Further, we do not warrant that the Site will be uninterrupted or error free or that any defects will be corrected.

Your use of any information or materials on the Site is entirely at your own risk, for which we shall not be liable. It shall be your own responsibility to ensure that any products, services or information available through the Site meet your specific requirements.

Although we attempt to ensure that the information contained in the Site is accurate and up-to-date, we accept no liability for the results of any action taken on the basis of the information it contains and all implied warranties, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy are excluded from these Terms to the extent that they may be excluded as a matter of law.  We do not attempt to exclude any rights you may otherwise have as a consumer that we cannot exclude as a matter of law.

Save in respect of death or personal injury resulting from our negligence or fraud, neither Pushrod nor any of its directors, employees or other representatives will be liable for any loss you suffer including, without limitation, indirect or consequential loss, or any damages arising from loss of use, data or profits, whether in contract, tort or otherwise, arising out of or in connection with the use of the Site. 

In the event that you have any right, claim or action against any other user arising from that user's use of the Site, you agree to pursue such right, claim or action independently of and without recourse to us, and you release Pushrod Limited (and our parent, subsidiaries, affiliates, officers, directors, agents and employees) from all claims, liability, damages, losses, costs and expenses, including legal fees, known and unknown, arising from or in any way connected with such right, claim or action.

7. Computer Viruses, Worms and Trojan Horses

Whilst we use reasonable endeavours to protect this Site from computer viruses, worms, Trojan Horses and other such destructive features (the “Destructive Features”), we do not warrant that the Site is free from such Destructive Features and accept no liability for any damage that may result from the transmission of any Destructive Feature via this Site or via any files which are available for you to download from the Site. You are responsible for implementing sufficient procedures and virus checks (including anti-virus and other security checks) to satisfy your particular requirements for the accuracy of data input and output.

You are responsible for ensuring that your computer system meets all relevant technical specifications necessary to use the Site or any service made available through it and that it is compatible with the Site.

8. Copyright and Reproduction

All of the material generated by a user, including vehicle posts, photos, and all personal information is the copyright of that user, with the exception of information about marques and models which is used for the benefit of other users of the Site in order to build a more informative service -- this information may be subject to editing for the benefit of the service. You shall have the right at all times to retrieve information which relates to you personally or to require us to return it to you. However, by providing the information to the Site, you grant us an unlimited non-exclusive, perpetual, royalty-free, irrevocable, worldwide licence (including the right to grant sublicences) to use, copy, reproduce, modify, publish, translate, create derivative works from and distribute until you effectively communicate a withdrawal of the licence.

The Site contains material which is owned by or licensed to us. This material includes, but is not limited to the design, layout, ‘look and feel’, appearance and graphics. Reproduction is prohibited other than in accordance with the copyright notice, which forms part of these terms and conditions.

The Site also contains information, text, data, graphics, photographs, illustrations, artwork, names, logos, and trade marks about the contents of the Site (e.g. the Cars and their manufacturers, automobile clubs). All trademarks reproduced in the Site, which are not the property of, or licensed to the Site, are acknowledged on the Site.

You are permitted to download, print, store temporarily, retrieve and display Information from the Site on a computer screen, print individual pages on paper (but not photocopy them) and store such pages in electronic form on disk (but not on any server or other storage device connected to the network) for your personal use or for internal use within your organisation.

You are not permitted (except where you have been given express permission to do so or are otherwise permitted to do so by law) to adapt, modify, copy, reproduce, republish, disassemble, decompile, reverse engineer, create derivative works from, download, post, broadcast or transmit in any other way any of the Information on the Site.

9. Your Further Use of This Site

You further agree not to use any Information on the Site except to the extent necessary to enable you to use the Site and the services provided through it. You shall not use the Site for any immoral or illegal purpose.  In particular you agree that you will not:

• use the Site for the posting or transmission of any unlawful, harmful, abusive, defamatory, obscene, pornographic, racially or ethnically objectionable material or any other such material;
• upload any files that contain any Destructive Features;
• post any information which in our opinion constitutes advertising; 
• post material which is deliberately intended to upset other users; or
• in any way damage, disable or impair the operation of the Site, or attempt to gain unauthorised access to the Site or to networks connected to it, by hacking, spoofing or other such similar means.

11. Your use of other user's information

In order to facilitate interaction among all users of the Site, our service allows you limited access to other users' contact information. You may have access to the username and other contact information of other users.

By accepting these Terms, you agree that, with respect to other users' personally identifiable information that you obtain through the Site or as otherwise connected with the Site, you may only use such information for:

• Autopendium-related communications that are not unsolicited commercial messages and relate to your genuine participation in the Site’s services,
• using services offered by the Site (e.g. contact with automobile clubs and access specialist repair and restoration information), and 
• any other purpose that such user expressly agrees to after adequate disclosure of the purpose(s).
  

In addition, you shall only use such information in accordance with applicable laws and regulations, including without limitation data protection and privacy laws. In all cases, you must give users an opportunity to remove themselves from your database and a chance to review what information you have collected about them. In addition, under no circumstances, except as defined in this clause, can you disclose personally identifiable information about another user to any third party without our consent and the consent of such other user after adequate disclosure. Note that law enforcement personnel,  and other rights holders are given different rights with respect to information they access.

Autopendium and our users do not tolerate spam or unsolicited commercial communications. Therefore, without limiting the foregoing, you shall not add a user of the Site to your mail list (email or physical mail) without their express written consent after adequate disclosure.

12. Termination

Without limiting any other remedies, we may suspend or terminate your account if we suspect that you have engaged or are about to engage in, or have been in any way involved in or linked to, fraudulent or unlawful activity in connection with the Site.

Without limiting our other remedies, we may limit your activity on the Site, immediately issue a warning, suspend or terminate your user registration or any of your posted information and refuse to provide our services to you without notice to you:

• if you breach these Terms;
  
• if we believe that your actions may cause us financial loss or legal liability;
• we believe that you are abusing the services in any way; or
• for any other reason in our sole discretion.

13. Events beyond our control

We will not be responsible for any breach of these Terms caused by circumstances beyond our reasonable control, including without limitation acts of god, war, terrorism or technical difficulties.

14. File Download

Certain files of Information are available for download from the Site (eg RSS feeds, vehicle photos).  These files of information are subject to these Terms.

15. Governing law

These Terms are subject to English law and to the non-exclusive jurisdiction of the English courts.
